Terms of use

These terms govern your use of Junior: the site, the diagnostic, the portal and the kit that makes Junior work inside your Claude or your ChatGPT. By using any of them, you accept these terms. If you accept them for a company, you represent that you have authority to bind it.

01What Junior is

Junior is a strategy and go-to-market advisor that runs inside the Claude or the ChatGPT you already use. It moves you through structured canevas, keeps your decisions coherent with one another, and produces reports. Depending on what you subscribed to, the service includes: the diagnostic, the Junior kit installed with you, the methodology modules you are entitled to, and the progress portal at my.junior.coach.

Junior is not a professional services firm. It does not replace a lawyer, an accountant, a tax specialist or a broker, and it provides no legal, tax, accounting or financial advice.

02Who may use it

Junior is for companies and for the people who run or represent them, in a professional setting. You must be of age and able to enter into a contract. Access is granted to the client company and to the people it designates.

03Your access key

  • Each person receives a personal access key. It is yours alone: do not share it, do not publish it, do not commit it to a code repository.
  • You are responsible for what is done with your key. Tell us without delay if you believe it has been compromised; we revoke it and issue a new one.
  • We may suspend a key used to circumvent the service's limits, to resell it, or to automate it in bulk.

04Subscription and billing

  • Junior is paid monthly, with no fixed term. The modules subscribed to, the price and the payment terms are those agreed with you in writing.
  • You may end your subscription effective at the end of the current period. Amounts already invoiced are not refunded pro rata, unless otherwise agreed in writing.
  • Non-payment may lead to suspension of access, after notice.
  • A diagnostic purchased on its own is a one-time engagement: it creates no subscription and does not renew.

05Your content and your deliverables

You own 100 % of what you produce with Junior: your answers, your completed canevas, your reports and your deliverables. They are saved in your project space, not with us. If you stop, everything still opens: they are ordinary files, and you keep them.

You grant us only the limited permission to process what you submit, for the time it takes to answer your request and deliver the service. We do not use your content to train models, and we do not keep it on our servers, as our privacy policy explains.

You are responsible for what you submit: you must have the right to submit it, and you must not put in it sensitive personal information about third parties, secrets that are not yours, or unlawful content.

06Our intellectual property

The Junior methodology, the canevas, the links between them, the coherence rules, the templates, the software, the trademarks and the site remain the property of Junior.Coach inc. and its licensors. Your subscription gives you a personal, non-exclusive, non-transferable and revocable right of use, for your company's internal purposes.

You may not: copy or redistribute the methodology and its templates outside your company; resell, rent or otherwise offer access to Junior; systematically extract its content, by scraping or otherwise; reverse engineer the service; or use the service to build a competing product.

If you send us feedback or suggestions, we may use them freely to improve Junior, with no obligation to you.

07Acceptable use

You undertake not to use Junior for any unlawful, deceptive or harmful activity; not to attempt to access data that is not yours; not to circumvent usage limits or authentication mechanisms; not to impair the operation or the security of the service; and not to submit malware to it.

08What Junior produces, and its limits

Junior relies on language models. Its analyses, recommendations and reports, including the diagnostic report, are starting points for thinking, not verified truths. They may contain errors or omissions.

Business decisions remain yours. Verify what matters before acting, and consult a professional for any legal, tax, accounting or financial question. We guarantee no commercial result, no growth and no performance.

09Third-party services

Junior works alongside services you provide or choose: your Claude or ChatGPT subscription, your Google Drive account, your mailbox. Their own terms and policies apply to them, and we do not answer for their availability, their changes or their prices. If one of them stops working with Junior, we will offer you the best alternative we can.

10Availability and change

We aim for an available service, without guaranteeing it will be uninterrupted. Maintenance windows, provider outages and incidents can happen. We keep the methodology and the product evolving: canevas, tools and features may be added, changed or removed. A removal that would significantly reduce what you subscribed to will be announced in advance.

11Warranties

The service is provided « as is ». To the extent permitted by law, we exclude all implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing here sets aside the mandatory legal warranties you benefit from.

12Limitation of liability

To the extent permitted by law, Junior.Coach inc. is not liable for indirect, incidental or punitive damages, nor for loss of profits, goodwill, data or business opportunities. Our total liability, for any claim related to the service, is limited to the amounts you paid us during the twelve months preceding the event giving rise to the claim.

These limits do not apply in cases of gross or intentional fault, nor to anything the law forbids limiting.

13Indemnity

You hold us harmless from third-party claims arising from your use of the service in breach of these terms or of the law, including claims about the content you submitted.

14Ending the relationship

  • You may stop using Junior whenever you want, and end your subscription effective at the end of the current period.
  • We may suspend or terminate your access for non-payment, for a serious breach of these terms, or for use that endangers the service or other clients. Except in an emergency, we first give you notice and an opportunity to put things right.
  • After the end: your keys are revoked and the portal closes. Your project files stay where they always were, with you. We have nothing to hand back, because we never held anything of yours.

15Mutual confidentiality

What you entrust to us during an engagement stays confidential, and so does what we show you of the methodology. Neither of us speaks of it outside without written agreement, except where the law requires it. We may mention that your company is a client only if you consent to it.

16Changes to these terms

We may change these terms. The effective date at the top of the page identifies the current version. A significant change will be announced by email or in the portal at least 30 days in advance; continuing to use the service after that date means accepting it.

17Governing law and language

These terms are governed by the laws in force in the province of Quebec and the laws of Canada applicable there. The courts of Quebec have exclusive jurisdiction over any dispute arising from them.

The French version of these terms prevails. This English version is provided for convenience; in case of divergence, the French text governs. If a clause is held invalid, the others remain in force.
